Terms of Service
GP Clinic Toolkit ("the Service") is operated by Kenneth Tan Medical Clinic ("we", "us", "KTMC"). These Terms govern your organisation's access to and use of the Service. By creating an account or using the Service, the organisation and its users agree to these Terms.
1. The Service
The Service provides an HCSA-aligned standard operating procedure (SOP) and policy library, staff training and competency tracking, self-audit tools, and related compliance features for Singapore general practice clinics, on a subscription basis.
2. Accounts and access
- An organisation administrator is responsible for the accounts they create and for their users' compliance with these Terms.
- Users must keep their login credentials confidential and notify us of any unauthorised use.
- You are responsible for the accuracy of the information you enter, including clinic profile details and staff records.
3. Acceptable use
You agree not to: use the Service unlawfully; share access beyond your licensed organisation; attempt to breach security or access another organisation's data; copy, resell, or redistribute the SOP / content library outside your organisation; or use the Service to infringe others' rights.
4. SOPs and content are templates, not advice
Important. The SOPs, policies, templates and other materials provided through the Service are governance and operational aids only. They are not legal, regulatory, or clinical advice, and using them does not by itself guarantee compliance with the Healthcare Services Act (HCSA), its regulations, the SMC, or any other law or standard.
Your clinic remains solely responsible for:
- reviewing, adapting and approving any SOP or policy for its own circumstances;
- confirming that the content reflects the current law, regulations, schedules and guidelines applicable to it; and
- its own regulatory compliance and clinical decisions.
We make reasonable efforts to keep the library current but do not warrant that any material is complete, accurate, or up to date at the time you rely on it.
5. Subscriptions, fees and taxes
- Paid tiers are billed in advance on a recurring basis through our payment processor (Stripe). Prices are shown in Singapore Dollars (SGD); applicable GST is added at checkout.
- New subscriptions may include a free trial of [CONFIRM: 14] days; you will not be charged if you cancel before the trial ends.
- Subscriptions renew automatically until cancelled. You may cancel at any time; access continues until the end of the current billing period.
- Except where required by law, fees are non-refundable for partial periods. [CONFIRM refund policy.]
6. Intellectual property
We and our licensors own the Service and the standard content library. We grant your organisation a non-exclusive, non-transferable licence to use them for internal compliance and training while your subscription is active. You retain ownership of the data and customisations you create, and grant us the limited rights needed to host and provide the Service.
7. Data protection
Our handling of personal data is described in our Privacy Policy. Your organisation owns the staff personal data it enters; we act as a data intermediary processing it on your instructions under the Personal Data Protection Act 2012 (PDPA).
8. Warranties and disclaimer
The Service and content are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and that the Service or content will be uninterrupted, error-free, or ensure regulatory compliance.
9. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the fees paid by your organisation for the Service in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, special or consequential losses, or for loss of profits, goodwill or data.
10. Term and termination
You may stop using and cancel the Service at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination your licence ends; we will make your data available for export for a reasonable period and then delete it in line with our Privacy Policy.
11. Changes
We may update these Terms. Material changes will be notified through the Service or by email; continued use after the changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of Singapore, and the parties submit to the exclusive jurisdiction of the Singapore courts.
